The supervisory board in the system of corporate governance

Abstract

Corporate governance encompasses a set of external and internal control mechanisms to ensure high efficiency of management of the economic entity. The supervisory board, being treated as a basic internal mechanism of corporate governance, is to monitor and supervise the activities of the Board. A strong position of the supervisory board in the structure of corporate governance can result in increasing significantly the efficiency of the company. This article discusses the essence, mechanisms and models of corporate governance, as well as the importance and role of the supervisory board in the system of corporate governance.
